(A) Periscope Holdings, Inc. (f/k/a RFP Depot d/b/a Bidsync) - E-Procure Systems - Renewal
(B) King of Pressure, Inc. - Citywide Pressure Washing - Non-Renewal
Summary Explanation and Background
SUMMARY EXPLANATION AND BACKGROUND:
1. Pursuant to Section 35.29(F) "City Commission notification" of the City's Code of Ordinances, "The City Manager, or his or her designee, shall notify the Commission, in writing, at least three months in advance of the expiration, renewal, automatic renewal or extension date, and shall provide a copy of the contract or agreement and a vendor performance report card for the contract or agreement to the City Commission."
2. On May 17, 2017, Commission approved the motion to place all contracts from the Contract Database Reports on consent agendas as they come up for contractual term renewal so that City Commission affirms directions to administration whether to renew or to go out to bid.
3. The Agreements shown below are listed on the Contracts Database Reports for renewal.
THE CONTRACT VALUE OF ITEM (A) HAS FALLEN BELOW THE $25,000 THRESHOLD. NO COMMISSION ACTION IS REQUIRED AS THIS ITEM IS PRESENTED FOR NOTIFICATION PURPOSES ONLY PURSUANT TO SECTION 35.29 (F) OF THE CITY’S PROCUREMENT CODE:
(A) Periscope Holdings, Inc. (f/k/a RFP Depot d/b/a Bidsync) - E-Procure Systems - Renewal
1. On December 20, 2012, the City entered into a Software Services Agreement with RFP Depot LLC., dba BidSync for an initial five (5) year period, commencing December 20, 2012 and expiring December 19, 2015.
2. The City of Pembroke Pines Procurement Department contracted RFP Depot LLC., dba BidSync to provide electronic procurement and Conga electronic contract software and services.
3. On July 1, 2015 the Parties executed the First Amendment for a five (5) year renewal term at a reduced price.
4. On August 1, 2015, RFP Depot LLC dba Bidsync merged with and became a sub-entity of Periscope Holdings, Inc.
5. In 2020 Periscope and Appextremes, LLC. d/b/a Conga ended their partnership and now Periscope Holdings, Inc. is only providing electronic procurement software and services.
6. On May 19th, 2020, Periscope and the City executed the Second Amendment to formalize the revised scope of services with the removal of Conga for the electronic contract management software.
7. Section 4.1 of the Original Agreement, as amended, allows for renewal terms upon mutual written consent by both parties.
8. The Procurement Department is exploring other E-Procurement systems and the renewal of the Agreement will not require Commission approval due to its reduced contract value as revised by the First and Second amendments (currently at $9,600 annually).
ITEM (B) IS NOT RENEWING; THEREFORE, NO COMMISSION ACTION IS REQUIRED AS THIS ITEM IS PRESENTED FOR NOTIFICATION PURPOSES ONLY PURSUANT TO SECTION 35.29 (F) OF THE CITY’S PROCUREMENT CODE:
(B) King of Pressure, Inc. - Citywide Pressure Washing - Non-Renewal
1. On March 1, 2017, the City Commission approved to enter into a Continuing Service Agreement with King of Pressure, Inc. for an initial two (2) year period, commencing March 1, 2017 and expiring February 28, 2019.
2. The City of Pembroke Pines Public Services Department utilizes King of Pressure, Inc. to provide Citywide Pressure Washing services.
3. The Original Agreement, as amended by the First Amendment provides for one (1) two (2) year renewal period commencing on March 1, 2018 and expiring on February 28, 2020.
4. On November 18, 2019, The City approved to enter into the Second Amendment which corrected the scrivener’s error on the First Amendment to show the renewal period as commencing on March 1, 2019 and expiring February 28, 2021.
5. The Original Agreement, as amended, is in its final term and does not allow for any further renewals. The Public Services Department is preparing to issue a new bid for these services.
